Item 5 -- Other Events
In May 1999, the Company ceased all negotiations with All Points Telecom, Inc.
("All Points") with respect to a proposed investment in the Company by All
Points. The terms of the investment as reported in a press release dated January
19, 1999 reflected the intention of All Points to purchase 80% of the Company's
Common Stock on a fully diluted basis for $16,000,000 and to provide the Company
with a $1,000,000 note.
