Item 5 -- Other Events
Effective July 19, 1999, Christopher J. Garcia and John Cassella resigned as
members of the Board of Directors of Northeast Digital Networks, Inc. and its
subsidiaries (the "Company"). Mr. Garcia also resigned as Secretary and
Treasurer of the Company. Joseph A. Rosio and Mal Gurian will remain as members
of the Board of Directors of the Company.
