     The following language is added on page 14 under the heading "Withdrawal
Charge":

     Where permitted by state law, the Company will waive the Withdrawal Charge
     on withdrawals made pursuant to the provisions of a Waiver of Contingent
     Deferred Sales Charge Endorsement for Terminal Illness attached to the
     Owner's Contract or a Waiver of Contingent Deferred Sales Charge
     Endorsement for Specified Conditions attached to the Owner's Contract.
