                               PART III. NARRATIVE

         State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period. (Attach extra sheets if needed.)

         The Registrant needs additional time in which to complete the audit of
         its financial statements for year ended December 31, 1999 as a result
         of certain accounts at one of its subsidiaries, Asche Transfer, Inc.
         which were misstated in prior reports filed by the Registrant. The
         Registrant is undergoing an investigation of the accounting records at
         Asche Transfer, Inc. to determine the amount of the restatement and the
         periods affected thereby. Accordingly, the Registrant has been unable
         to file its financial statements for quarters ended March 31, 2000,
         June 30, 2000 and September 30, 2000.

         As a result of the ongoing investigation of the accounting records at
         Asche Transfer, Inc. and the audit of the year end financial
         statements, the Registrant is unable to reasonably estimate the results
         of operations to be reflected by the earnings statement to be included
         in the Form 10-Q for September 30, 2000.

Regulations under the Securities Exchange Act of 1934.

amendments thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the General
Rules and Regulations under the Act. The information contained in or filed with
the form will be made a matter of the public record in the Commission files.

         3. A manually signed copy of the form and amendments thereto shall be
filed with each national securities exchange on which any class of securities of
the registrant is registered.
