Explanation of Responses:
(1) All such shares are held in the Jonathan P. May 1998 Trust (the "JPM
Trust"), an entity in which Mr. May is a trustee. The JPM Trust owns 8.403% of
MCM Holding Company LLC which owns
1,729,396 shares (35%) of MCM Capital Group, Inc. prior to its initial public
offering.
(2) All such shares are held in the Leslie A. May 1998 Trust (the "LAM Trust),
an entity in which Mr. May is a trustee. The LAM Trust owns 8.403% of MCM
Holding Company LLC which owns
1,729,396 shares (35%) of MCM Capital Group, Inc. prior to its initial public
offering.
(3) The reporting person disclaims beneficial ownership of these securities,
and this report shall not be deemed an admission that the reporting person is
the beneficial owner of such securities for
purposes of Section 16 or for any other
purpose.
