Explanation of Responses:
(1) Effective October 18, 1999, MCM Holding Company LLC distributed the shares
held by it to its members. The trust listed in footnote 2 below was a member
of this limited liability company.
(2) All such shares are held in the Nelson Peltz Children's Trust (the
"Trust"), an entity in which Mr. Peltz is a trustee.
(3) The reporting person disclaims beneficial ownership of these securities,
and this report shall not be deemed an admission that the reporting person is
the beneficial owner of such securities for
purposes of Section 16 or for any other
purpose.
