     The  Registrant's quarterly report on Form 10-QSB could not be filed within
the  prescribed  time  period  because  management  has been involved in product
marketing  and  has  not  been able to prepare the Form 10-QSB so as to file the
Form 10-QSB within the prescribed time period.
