Item 5. Other Events.
On November 25, 1996, the Registrant entered into a
Consulting Agreement ("Agreement") with Cored Capital
Corporation ("Cored"), wherein the Registrant engaged Cored
to provide certain financial and public relations services,
including providing consultation and advice on increasing
investor awareness of the Registrant and its products and/or
services, such as by preparing and disseminating brochures,
profiles and fact sheets highlighting the Registrant and its
business, issuing press releases, and preparing interviews
and advertisements for selected publications. The term of
the Agreement is twelve (12) months. As compensation for
its services, the Registrant issued to Cored 100,000 shares
of the Registrant's Common Stock, which the Registrant
agreed immediately to register.
