Item 5. Other Events.
On December 23, 1996, the Registrant entered into a
Consulting Agreement ("Agreement") with Kent T. Allen
wherein the Registrant engaged Kent T. Allen to provide certain
financial and public relations services. The term of
the Agreement is twelve (12) months. As compensation for
its services, the Registrant issued to Kent T. Allen 26,000 shares
of the Registrant's Common Stock, which the Registrant
agreed immediately to register.
