Following a review of the financial information of
The 5th Avenue Channel, Inc. ("Fifth Avenue"), which
became a wholly-owned subsidiary of the Registrant
upon consummation of the Share Exchange Agreement by
and between the Registrant, Fifth Avenue and the
Fifth Avenue Shareholders as reported in the
Registrant's Current Report on Form 8-K filed on
March 25, 1999, it has been determined that financial
statements are not required to be filed, pursuant to
paragraph (c)(3)(i) of Item 310 of Regulation SB.
(b) Pro Forma Financial Information.
Following a review of the financial information of
Fifth Avenue, which became a wholly-owned subsidiary
of the Registrant upon consummation of the Share
Exchange Agreement by and between the Registrant,
Fifth Avenue and the Fifth Avenue Shareholders as
reported in the Registrant's Current Report on Form
8-K filed on March 25, 1999, it has been determined
that pro forma financial information is not required
to be filed, pursuant to paragraph (c)(3)(i) of Item
310 of Regulation SB.
