On page 1 of the prospectus the fifth paragraph should be replaced with the
following:
The Series Account currently has 13 Investment Divisions available
for allocation of Contributions. The Investment Divisions invest in
shares of one of the Portfolios of Maxim Series Fund, Inc. ("Maxim" or
the "Fund"), an open-end, series, management investment company as
described on page 2.
On page 4 of the prospectus replace Valuation Date including the text
thereunder with the following:
Valuation Date: The date on which the net asset value of the Fund is
determined. Valuation will occur on each day that the New York Stock
Exchange is open for trading. Contributions and Requests received after
4:00 EST/EDT will be deemed to have been received on the next business
day.
