RESPONSE: THE FINANCIAL REPORTING SYSTEM WAS CONVERTED TO BE YEAR 2000 COMPLIANT
DURING THE PERIOD AND THEREFORE COULD NOT GENERATE DATA IN TIME TO MEET THE
FILING DEADLINE.

RESPONSE: THE BANK'S EARNINGS FOR THE QUARTER ENDED MARCH 31, 1998 WERE
SIGNIFICANTLY AFFECTED BY THE CHARGE OFF OF A DISHONORED CASHIER'S CHECK WHICH
IS CURRENTLY IN PENDING LITIGATION. THE AMOUNT CHARGED AGAINST INCOME WAS
$123,000 WHICH RESULTED IN AN AFTER TAX CHARGE OF $81,000.
