PART III - NARRATIVE
The Report on Form 10-QSB could not be timely filed without unreasonable
effort or expense primarily due to additional time being needed to gather
and compile the information necessary to file a complete Form 10-QSB.
PART IV - OTHER INFORMATION
(2) The Company has not as of this date filed Form 10-QSB for the period
ended July 31, 2000, which report is expected to be filed prior to the
filing of the subject report.
(3) The Company expects to report a net loss which will be significantly
greater than the net loss for the corresponding period of the last fiscal
year. This was primarily due to an increase in operating expenses.
