ATTACHMENT I
Registrant's financial statements were not completed on or before the date
on which Registrant's Form 10-Q for the fiscal quarter ended September 30, 1996,
is required to be filed as a result of delays due to the downsizing of the
Company and the preparation of negative adjustments in the valuation of certain
assets arising from recent litigation with Caterpillar, Inc. The Company is
currently in the process of finishing these necessary adjustments and believes
at this time that the work will be completed, and its Form 10-Q will be filed,
within the grace period provided for under Rule 12b-25.

ATTACHMENT II
Registrant expects its results of operations to have decreased to an
operating loss of $773,848 for the fiscal quarter ended September 30, 1996, from
an operating income of approximately $253,539 for the fiscal quarter ended
September 30, 1995. This decrease resulted primarily from an increase in Cost of
Goods Sold reflecting a write-down of the value of certain Caterpillar branded
inventory during the quarter.
