Explanation of Responses:
On April 3, 1998, REDAM LLC ("REDAM"), a wholly owned, indirect subsidiary of
Pinault-Printemps-Redoute S.A. ("PPR"), purchased 8,010,917 shares of common
stock, par value $.01 per share, of Brylane Inc. ("Brylane") from certain
Brylane stock- holders, including certain members of Brylane management, at a
purchase price of $51 per share. Such purchases are more fully described in, and
the stock purchase agreements relating to certain of the purchased shares are
filed as exhibits to, the Schedule 13D filed by PPR with the Securities and
Exchange Commission on April 13, 1998.
As Chief Financial Officer of La Redoute S.A., an affiliate of PPR and the
parent company of REDAM, Mr. Metzger may be deemed to beneficially own the
8,010,917 shares purchased by REDAM. Mr. Metzger disclaims beneficial ownership
of such shares and this report shall not be deemed an admission that Mr. Metzger
is the beneficial owner of such securities for any purpose.
