      State below in reasonable detail the reasons why the Forms 10-K, 11-K,
20-F, 10-Q, N-SAR, or the transition report or portion thereof, could not be
filed within the prescribed time period. (Attach Extra Sheets if Needed).

      The Registrant completed the consolidation of the management and financial
information systems of its three subsidiaries into one location during November
1999. Due to this consolidation effort, the Registrant experienced delays in
obtaining and compiling the information necessary to properly and accurately
complete the Annual Report on Form 10K-SB within the prescribed time period
without unreasonable effort or expense.

      The results for the fiscal year ended September 30, 1999 include a
$1,156,285 loss from discontinued operations as a result of the March 1999
decision to discontinue the operations of DuraWear Corporation, a subsidiary of
the Registrant. In addition, a $955,000 casualty loss was recorded as a result
of the August 1998 fire at the facilities of GreenMan Technologies of Louisiana,
Inc., a subsidiary of the Registrant.

Rules and Regulations under the Securities Exchange Act of 1934.

amendments thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the General
Rules and Regulations under the Act. The information contained in or filed with
the form will be made a matter of public record in the Commission files.

      3. A manually signed copy of the form and amendments thereto shall be
filed with each national securities exchange on which any class of securities of
the registrant is registered.

      4. Amendments to the notifications must be filed on form 12b-25 but need
