Supplement dated June 22, 1995 (the "Prospectus
Supplement").
In the second paragraph on page S-2 in the Prospectus
Supplement, the second sentence will be replaced in its
entirety with the following:
As described herein, interest
payable with respect to each
Distribution Date on the Class A
Certificates will accrue during the
Accrual Period (as defined herein).
In the second paragraph under the caption "SUMMARY-Pass-
Through Rate on the Class A Certificates" in the
Prospectus Supplement, beginning with clause (c) in the
first sentence, the words in such sentence will be
replaced in their entirety with the following:
