The severe flooding of the Licking River in the first quarter of
1997 caused significant damage to Registrant's physical
facilities including its records and computer systems.
Management of the Registrant has spent considerable time
attempting to restore the records of the Registrant and its
wholly-owned subsidiary, and has accordingly experienced a delay
in completing the Registrant's Quarterly Report on Form 10-QSB
for the June 30, 1997 quarter.<PAGE>
