The Company is in the process of negotiating
new financing arrangements and awaiting the
formalization of such financing arrangements,
which are material to the company's financial
position and to the disclosures required.
As a result of these circumstances, the Company
has been unable to complete the report within
the prescribed time period.

The 1999 year end revenues are estimated to be below
$10 million dollars, which is considerably lower than
in previous years.
