The paragraph under the heading "JNL/PHOENIX INVESTMENT COUNSEL GROWTH
SERIES" located on page 27 of the Prospectus has been replaced by the following
paragraph:
Van Harissis, CFA, assumed the day-to-day responsibility for managing
the JNL/Phoenix Investment Counsel Growth Series portfolio effective May
24, 1996. Mr. Harissis also serves as the portfolio manager for mutual
funds and underlying funds for variable annuity products managed by
Phoenix Investment Counsel, Inc. Prior to joining Phoenix in August
1995, Mr. Harissis previously held the position of Senior Portfolio
Manager at Howe and Rusling, Incorporated. He had been with that firm
since 1990.
