Explanation of Responses:

(1)  2,850,000 shares were exchanged pursuant to a Stock Purchase Agreement with
     CyberAmerica  Corporation  by which World  Alliance  acquired a controlling
     interest in 10 corporations  holding raw land in the state of Utah, no cash
     value was assigned to the transfer between the parties.

(2)  125,000  shares were  transferred  to Ronald  Friedman in  satisfaction  of
     obligations owed to him.

(3)  125,000  shares  were  transferred  to Reid  Friedman  in  satisfaction  of
     obligations owed to him.

(4)  200,000 shares cancelled by agreement with the Issuer.

(5)  250,000 shares were  transfreered to Richard Maus for services  provided to
     World Alliance Consulting, Inc.
