ITEM 1.   DESCRIPTION OF REGISTRANT'S
          SECURITIES TO BE REGISTERED

          PREFERRED SHARE PURCHASE RIGHTS

     On September 15, 1988 the Board of Directors of State Street
Boston Corporation (the "Registrant") approved a Rights Agreement
between the Registrant and the First National Bank of Boston, as
Rights Agent, and pursuant thereto declared a dividend distribution
of one Preferred Share Purchase Right for each outstanding share of
Common Stock of the Company.  The distribution was made as of
October 7, 1988 to stockholders of record on that date.  Such
Rights Agreement was thereafter amended by an Amendment dated as of
September 20, 1990.  At the date hereof, each Right entitles the
registered holder to purchase from the Registrant one two-hundredth
share of a series of the Registrant's participating preferred stock
at an exercise price of $75 per share.  The description and terms
of the Rights are set forth in a Rights Agreement between the
Registrant and the First National Bank of Boston, as Rights Agent,
as subsequently amended.  The foregoing description of the Rights
does not purport to be complete and is qualified in its entirety by
reference to the Rights Agreement and an Amendment thereto, which
are Exhibits to this Registration Statement and are incorporated in
this summary description by reference.
