     State below in reasonable detail the reasons why Form 10-K, 11-K, 20F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period. 
        
       Due to recent cost reductions, including accounting personnel,
       the Company was unable to adjust to filing the Form 10-Q within
       the prescribed time period.

           Is it anticipated that any significant change in result of operations
           from the corresponding period for the last fiscal year will be 
           reflected by the earnings statements to be included in the subject

       If so, attach an explanation of the anticipated change, both narratively
and quantitatively, and, if appropriate, state the reasons why a reasonable
estimate of the results cannot be made.

         The Company anticipates a significant decline in the results of 
         operations for the three months ended June 30, 1998 as compared
         to the three months ended June 30, 1997. This decline is attributed
         to the reduced sales volume in connection with the de-emphasis
         of the Company's wholesale business,  reductions in advertising 
         expenditures due to working capital constraints, reduction in
         inventory purchase levels due to working capital constraints and
         understanding with suppliers and the recent industry-wide softness
         in the do-it-yourself market.The decrease in sales did not allow 
         the Company to sufficiently leverage its corporate overhead. This
         caused both significantly higher costs of goods sold and operating
         expenses compared to revenues.
