(1) These shares are owned by DTC Holdings Corporation, a
wholly-owned subsidiary of D.T. Chase Enterprises, Inc.
("DTCE"). The reporting person owns 2.20% of the common
stock of DTCE and the reporting person's husband owns 33.95%
of the common stock of DTCE. The reporting person's husband
is the President and Chairman of the Board of DTCE and the
President, Treasurer and Chairman of the Board of DTC Holdings
Corporation. The reporting person expressly disclaims beneficial
ownership of these securities, and this report shall not be
deemed an admission that the reporting person is the beneficial
owner of such securities for purposes of Section 16 or for any
other purpose.
