      The Company has not yet filed its Report on Form 10-KSB with the
Securities and Exchange Commission due to the late engagement of Arthur Andersen
LLP as the Company's independent public accountant and certain material
uncertainties that have delayed completion of the audit. The Company expects to
file its report on Form 10-KSB by August 18, 1998 and will file its 10-QSB
shortly thereafter.

Regulations under the Securities Exchange Act of 1934.

amendments thereto must be completed and filed with the Securities and Exchange
Commission, Washington, DC 20549, in accordance with Rule 0-3 of the General
Rules and Regulations under the Act. The information contained in or filed with
the form will be made a matter of the public record in the Commission files.

      3. A manually signed copy of the form and amendments thereto shall be
filed with each national securities exchange on which any class of securities of
the registrant is registered.

      4. Amendments to the notifications must also be filed on Form 12b-25 but
need not restate information that has been correctly furnished. The form shall
be clearly identified as an amended notification.

ATTACHMENT TO PART IV OTHER INFORMATION, (3)


The quarter ended June 30, 1998 will reflect decreases in sales because of lost
orders during the last month of the quarter. Portions of the orders lost will be
picked up during the remainder of the fiscal year. Operating loss will be less
than the quarter of the previous year. Estimated sales for the quarter are
$5,311,000 versus the same period one year ago of $6,317,000.
