The securities to be registered consist of $120,000,000 principal amount of
% Senior Subordinated Notes due 2006 (the "Senior Notes") of Foodbrands
America, Inc. (the "Registrant") and the full and unconditional guarantees (the
"Guarantees") of the following subsidiaries of the Registrant: Brennan Packing
Co. Inc.; Continental Deli Foods, Inc.; Doskocil Food Service Company, L.L.C.;
Doskocil Specialty Brands Company; FBAI Investments Corporation; KPR Holdings,
L.P.; National Service Center, Inc.; and RKR-GP, Inc. (collectively with the
Registrant, the "Co-Registrants"). The Co-Registrants hereby incorporate by
