This Amendment No. 14 to Schedule 13D amends the Statement on Schedule 13D
(the "Schedule 13D") filed with the Securities and Exchange Commission on
April 30, 1998 by Richard C. Blum & Associates, L.P. and its affiliates (along
with TPL Acquisition, LLC, the "Blum Reporting Persons"), and Pell Development
Company, Joseph Pell and Eda Pell (the "Pell Reporting Persons"). The Blum
Reporting Persons and the Pell Reporting Persons are collectively referred to
herein as the "Reporting Persons". Unless otherwise defined herein, all
capitalized terms shall have the meanings ascribed to them in the Schedule
13D. This Amendment No. 14 is being filed to reflect the conversion on June
2, 1998, of all the Blum Reporting Persons' Interests into the right to
receive $1.90 in cash per Interest pursuant to the Agreement and Plan of
Merger ("Merger Agreement"), dated as of April 24, 1998, by and among the
Company, The Kontrabecki Group, Inc. and TKG Acquisition Company, LLC.
Further information regarding the Merger Agreement can be obtained from the
Form 8-K dated April 24, 1998 and filed by the Company with the Securities and
Exchange Commission on April 29, 1998.
Item 5. Interest in Securities of the Issuer

Item 5 of the Schedule 13D is hereby amended and restated in its entirety as
follows:
(a),(b) According to the Company's Proxy Statement filed with the Securities
and Exchange Commission on May 12, 1998, there were 19,708,123 Interests
outstanding as of May 4, 1998. Based on such information, after taking into
account the completion of the merger described in the Merger Agreement, on
June 2, 1998, the Reporting Persons report no direct holdings of the
Interests, which represents 0.0% of the outstanding Interests.
(c) There have been no purchases or sales of the Interests in the past 60
days. On June 2, 1998, upon completion of the merger described in the Merger
Agreement, 2,012,158 Interests beneficially held by the Blum Reporting Persons
were transferred pursuant to the Merger Agreement.
(d) Not applicable.
(e) As of June 2, 1998, the Reporting Persons are no longer beneficial
holders of any Interests.
