(1) The Reporting Person is a trustee of the trust and has a beneficiary interest in the trust. The Reporting Person disclaims
beneficial ownership of the reported securities, except to the extent of his pecuniary interest therein.
(2) The Reporting Person is a director of United International Holdings, Inc. ("UIH"). UIH owns 83,087,469 Ordinary Shares of the
Issuer. The Reporting Person disclaims beneficial ownership of these Ordinary Shares and this Report shall not be deemed an
admission that the Reporting Person is the beneficial owner of such Shares for purposes of Section 16 and for any other purpose.
