     This Amendment No. 2 amends and supplements the Solicitation/Recommendation
Statement on Schedule 14D-9, originally filed on March 24, 1997 and amended by
Amendment No. 1 thereto filed on April 21, 1997 (as amended, the "Schedule
14D-9"), of NYNEX CableComms Group PLC, a public limited company incorporated
under the laws of England and Wales ("NYNEX CableComms UK"), and NYNEX
CableComms Group Inc., a Delaware Corporation ("NYNEX CableComms US", and
together with NYNEX CableComms UK, the "Companies"), with respect to the tender
offer disclosed in a Tender Offer Statement on Schedule 14D-1 dated March 24,
1997 (the "Schedule 14D-1") by Cable & Wireless Communications plc, a public
limited company incorporated under the laws of England and Wales ("CWC"), to
purchase (i) all NYNEX CableComms UK Ordinary Shares (including those comprised
in Units or represented by ADSs) for 0.330714 ordinary shares, par value 50p per
share, of CWC per NYNEX CableComms UK Ordinary Share and (ii) all NYNEX
CableComms US Shares of Common Stock (including those comprised in Units or
represented by ADSs) for 0.036746 CWC Ordinary Shares per NYNEX CableComms US
Share of Common Stock. Capitalized terms used herein but not defined herein have
the meanings assigned to such terms in the Schedule 14D-9.

Item 4. The Solicitation or Recommendation

     Item 4(b) of the Schedule 14D-9 is hereby amended and supplemented by
adding thereto the following:

     On April 23, 1997, the Companies filed with the Commission a Current 
Report on Form 8-K attaching a press release with respect to their revenue
for the three months ended March 31, 1997. The full text of the press release 
is set forth in Exhibit 21 and is incorporated herein by reference.

                Revenue for the three months ended 31 March 1997

NYNEX CableComms today announces unaudited total revenue for the three months
ended 31 March 1997 of (pound)46.5 million. This is a 43 per cent increase in
total revenue compared with the three months ended 31 March 1996 ((pound)32.5
million).

It is anticipated that the full first quarter unaudited operating statistics
and financial results will be announced by mid-May.

NYNEX CableComms is one of the leading integrated providers of cable television
and telecommunications services in the UK. It is licensed to provide these
services in 16 franchise areas, covering approximately 2.7 million homes and
approximately 153,000 businesses. NYNEX CableComms' franchise homes are
equivalent to approximately 15% of the total homes in the UK for which
franchises had been awarded at 31 December 1996. NYNEX CableComms has
approximately 2.3 million equity homes, making it one of the largest multiple
systems operators in the UK on the basis of the total number of equity homes in
its franchise areas.
