The D3 Family Fund, L.P., a Washington State partnership, whose
principal business is investing in the equities of public micro-cap
issuers. Located at 19605 N.E. 8th St., Camas, Washington 98607.

Item 3. Source and Amount of Funds or Other Consideration
Source of funds is money invested in the partnership by its partners.
Item 4. Purpose of Transaction
I have been a shareholder, personally and professionally, of Garden
Fresh Restaurant Corp. (LTUS), and of its predecessor company, since
October, 1985. During this time the company has grown and prospered
from just two stores in the San Diego market, tied for regional
leadership, to 84 stores in 14 states with national and regional
leadership of a growing segment of the restaurant industry.
Management has delivered positive comparable store gains every
quarter during the last seven years, save one when comps were flat.
And management has met or exceeded Street earnings per share
expectations in 20 out of 22 quarters as a public company. Yet the
share price languishes today at approximately 15% below LTUS' IPO
price of May 1995, 39% below reported book value (and an even
greater discount from book value adjusted for the market values of
company owned properties), and at a single digit multiple of forward
earnings. In an industry where companies are acquired or taken
private at enterprise values of roughly 6 1/2 times cash flow, LTUS'
share price is so depressed that its current enterprise value is
only about four times projected cash flow.
Clearly something substantial and different must be done to maximize
shareholder value at LTUS. The company's shareholders are not being
rewarded by the public market for the tremendous progress which the
company and its management have made building its business.
I recently increased our ownership of LTUS for two reasons: first,
because I believe that the shares are dramatically undervalued, and
second, to become a positive catalyst to move LTUS' board and
management to close the gap between the company's current share
price and the company's intrinsic value. I will meet with management
on December 7 to explore various possible ways to maximize shareholder
value. This meeting may result in my filing an amended Form 13D
advocating more specific actions to increase LTUS' share price.

(a,b) D3 owns and has sole voting and dispositive power over, 703,200
common shares of LTUS (12.4%). In addition, 103,175 more common
shares of LTUS are owned by three foreign investors on whose
behalf Mr. Nierenberg is authorized to trade, The Nierenberg
Family 1993 Trust of which Mr. Nierenberg and his wife are
trustees, an irrevocable trust for the benefit of their
children, and Florence Cies an individual from California.
Aggregating these seven investors, the group controls a total
of 806,375 LTUS shares (14.3%).
(c) D3's transactions in the last 60 days were the purchase of
210,000 shares of LTUS at an average price of $7.25 on
November 8, 2000.
