Explanation of Responses:
(1) The warrants were granted as of August 17, 1998 to GP Strategies
Corporation ("GPS"), of which the
reporting person is a director, senior executive officer and significant
stockholder. The warrants are
exercisable immediately by GPS and are valid for a term of five (5) years. The
reporting person disclaims
beneficial ownership of these securities, and this report shall not be deemed
an admission that the reporting
person is the beneficial owner of such securities for purposes of Section 16 or
any other purpose.
