This Tender Offer Statement on Schedule TO relates to an offer by
Invensys B.V. i.o., a corporation organized under the laws of The
Netherlands ("Offeror") and a direct wholly owned subsidiary of Invensys
Holdings B.V. i.o., a corporation organized under the laws of The
Netherlands ("Purchaser") and a indirect wholly owned subsidiary of
Invensys plc, a public limited company organized under the laws of England
and Wales ("Parent"), to purchase any and all outstanding Common Shares,
par value NLG 0.06 per share, of Baan Company N.V., a corporation organized
under the laws of The Netherlands (the "Company"), at a purchase price of
2.85 euros per share.
