State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.
During the last three months the Company moved its executive offices from the
Los Angeles area to the Denver area and several members of the financial
management team were changed. As a result the Company was unable to complete
and file its Form 10-KSB in the prescribed time period.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
During the year ended December 31, 1996, the Registrant had a net loss of
$(3,756,450) as compared to net income of $2,034,997 during the year ended
December 31, 1995. Revenues for 1996 were $54,918,520 as compared to
$47,871,972 for 1995.
