The Company's accounting department has been working on documentation for a
new bank line of credit and on government contract audits and has been unable
to timely complete the financials for the Form 10-QSB.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
During the three months ended March 31, 1997 the Company had revenues of
$7,517,743 as compared to revenues of $12,544,880 during the three months
ended March 31, 1996. The Company had a net loss of $1,460,693 for the three
months ended March 31, 1997 compared to net income of $228,359 during the
three months ended March 31, 1996.
