The Company's Chief Financial Officer and controller were required to prepare
documentation for a government audit for a potential award of a new contract,
and have been unable to complete the financials in order to file the Form
10-KSB in a timely manner.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:
During the twelve months ended December 31, 1997 the Company had revenues of
$54,169,753 as compared to revenues of $54,918,520 during the twelve months
ended December 31, 1996. The Company had a net loss of $347,290 for the
twelve months ended December 31, 1997 compared to net loss of $3,756,450
during the twelve months ended December 31, 1996.
