This registration statement relates to the registration with the
Securities and Exchange Commission of (i) Units consisting of three shares of
Common Stock, $.001 par value, and three Redeemable Class A Common Stock
Purchase Warrants; (ii) Common Stock, $.001 par value, underlying Redeemable
Class A Common Stock Purchase Warrants; and (iii) Underwriters Unit Purchase
Warrant, of Beverage International Group, Ltd., a Colorado corporation (the
