Due to the reduction in staff and change of management, the Registrant
was unable to complete the financial data for inclusion in the Form 10K-SB
in a timely manner.

The Registrant anticipates significant losses of approximately
$4,300,000 for the twelve month period ended May 31, 1997 which will be
reflected due to a lack of revenues versus high carrier commitments and
other operating expenses. For the comparable period ended May 31, 1996,
the Registrant incurred losses of approximately $2,800,000.
