Give brief description of transaction:
On September 5, 1996, Legal Research Center, Inc. (the "Company") approved the
sale of an aggregate of 1,040,000, shares of its Common Stock to three of its
officers and/or directors. Christopher R. Ljungkull, the Chief Executive
Officer and a director of the Company, purchased 500,000 shares, James R. Seidl,
the President and a director of the Company, purchased 500,000 shares and James
J. Seifert, a director of the Company, purchased 40,000 shares, all at the
closing price for the Company's Common Stock on September 4, 1996.
