Reference is made to the Registration Statement on Form S-1 filed by
Norland Medical Systems, Inc. (the "Company") with the Securities and Exchange
Commission (the "Commission") on June 6, 1996 (Registration No. 333-05303), as
amended by Amendment No. 1 thereto filed with the Commission on June 21, 1996
(as so amended, the "Registration Statement"). The Registration Statement has
not become effective and none of the shares covered by the Registration
Statement have been sold.
The Company hereby applies to the Commission to withdraw the
Registration Statement. As a result of the general stock market decline and the
decline in the price of the Company's Common Stock since the filing of the
Registration Statement in June, the Company has determined that it is not in the
Company's best interests to proceed with the offering.
