ITEM 9. Sales of Equity Securities Pursuant to Regulation S.
On the 12th day of August, 1997, the Registrant sold to
Britannia Holdings Limited ("Britannia"), a Nevis corporation,
Kings House, The Grange, St. Peter Port, Guernsey, GY1 2QJ, Channel
Islands, 250,000 shares of Common Stock, at US$3.00 per share or a
total of US$750,000. In addition, Britannia received 62,500
Warrants to acquire 62,500 shares of Common Stock at an exercise
price of $4.75 per share. As of the date hereof, none of the
warrants have been exercised.
