State below in reasonable detail the reasons why Forms 10-K, 10-KSB,
11-K, 20-F, 10-Q, 10-QSB, N-SAR or the transition report portion thereof could
not be filed within the prescribed time period.
BAB Holdings, Inc. is still in the process of gathering all necessary
financial data on the recently completed restructuring charge and reverse
split of its common stock. This extension is necessary to allow us to
finish our collection and analysis of such information for inclusion in the
required disclosures of Form 10-KQSB for the year ended November 28, 1999.
Subject report could not be filed without unreasonable effort or expense.
