(1) Distribution by SRF to its
partners.
(2) Mr. Dow, the Reporting Person, is a general partner of SRB Associates IV
L.P., the general partner of SRF. Mr.
Dow shares voting and investment power with the other general partners of SRB
Associates IV L.P. Mr. Dow
disclaims beneficial ownership of such securities except to the extent of his
pecuniary interest therein, and this
report shall not be deemed an admission that Mr. Dow is the beneficial owner of
such securities for purposes of
Section 16 or any other
purpose.
(3) Acquired by Reporting Person pursuant to a distribution by SRB Associates
IV L.P. subsequent to a distribution
of such securities by
SRF.
(4) The Reporting Person and his spouse are trustees of the Dow Family Trust.
The Reporting Person and
members of his immediate family are the
beneficiaries.
