State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q,
N-SAR, or the transition report or portion thereof, could not be filed within 
the prescribed time period.

     Form 10-Q for the quarter ended April 30, 1996, is not filed within the 
prescribed time period due to change in the Registrant's legal counsel.  
Registrant's former legal counsel had previously undertaken SEC filing 
responsibilities for Registrant, and Registrant is in process of reassigning 
those responsibilities and duties, as well as preparing for Registrant's 
initial Edgar filing. Registrant has also submitted a No-Action Letter 
request to SEC Staff, requesting, among other things, deregistration under 
the Securities Exchange Act of 1934.
