ITEM 5.        OTHER EVENTS

On or about May 18, 1998, the Registrant will 
cause the issuance and sale of approzimately 
$1,438,000,263 initial principal amount of 
Mortgage Pass-Through Certificates, Series 1998-C1, 
Class X, Class A-1, Class A-2, Class B, Class C, 
Class D, Class E, Class F, Class G, Class H, 
Class J, Class K, Class L, Class M, Class N, 
Class R-1, Class R-2 and Class R-3 (the "certificates")
pursuant to a Pooling and Servicing Agreement to 
be dated as of May 1, 1998, among the Registrant, 
GMAC Commercial Mortgage Corporation, as Servicer, 
LaSalle Bank N.A., as Trustee and ABN AMRO 
Bank N.V., as Fiscal Agent.  In connection with 
the sale of the Class X, Class A-1, Class A-2, 
Class B, Class C, Class D, Class E and Class F 
Certificates (the "Publicly Offered Certificates"),
the Registrant has been advised by Deutsche Morgan 
Grenfell Inc. and Lehman Brothers Inc. have  
registered pursuant to the Act under a Registration
Statement on Form S-3 (File No.333-37717)
(the "Registration Statement").



	
Capitalized terms used herein and not defined herein 
have the same meanings ascribed to such terms in the 
Pooling and Servicing Agreement.

Pursuant to Section 3.20 of the Pooling and Servicing 
Agreement, the Trustee is filing this Current Report 
containing the December 14, 1998 monthly distribution 
report.


This Current Report is being filed by the Trustee, in 
its capacity as such under the Pooling and Servicing Agreement, on 
behalf of the Registrant.  The information reported and contained 
herein has been supplied to the Trustee by one or more of the Master 
Servicer, the Special Servicer or other third parties without 
independent review or investigation by the Trustee. Pursuant to the 
Pooling and Servicing Agreement, the Trustee is not responsible for 
the accuracy or completeness of such information.
