Addendum to Form 12b-25 dated March 31, 1999
for
Transderm Laboratories Corporation
Part III
Registrant is a 90%-owned subsidiary of Health-Chem Corporation
("Health-Chem"). Registrant's financial statements are included
in the consolidated financial statements of Health-Chem. Health-
Chem is concurrently filing a Form 12b-25 extending the time to
file its Annual Report on Form 10-K for the fiscal year ended
December 31, 1998 to April 15, 1999 because of an inability to
make reasonable estimates regarding net realizable values in
respect of Health-Chem's previously announced sale process
involving its Herculite Products, Inc. and Hercon Environmental
Corporation subsidiaries. Registrant requires such estimates to
enable it to prepare accurate financial statements. Although
there can be no assurance, Registrant has been advised that
Health-Chem expects to be in a position to provide such estimates
that would allow Registrant to file its Annual Report on Form 10-
K for the fiscal year ended December 31, 1998 on or before April
15, 1999.
