The Company is in the process of evaluating, with its accountants, disclosure
to be included in its report on Form 10-QSB for the quarter ended June 28,
1998, relating to the proposed acquisition of Manhattan Bagel Company, Inc.,
Debtor in Possession, discussed in its report on Form 8-K being filed on or
about the date hereof. Upon completion of the above, the Company anticipates
filing its report on Form 10-QSB for the quarter ended June 28, 1998 within
the requested extension period.
