Supplement dated July 31, 1996 to
Prospectus dated October 26, 1995

The Board of Directors of the Fund has authorized the creation of a new
series. In connection therewith, the Board also approved (i) a change in the
name of the Fund to Prudential Jennison Series Fund, Inc., and (ii) a
redesignation of the shares of existing shareholders of the Fund to Prudential
Jennison Growth Fund, a series of the Fund. These changes will be implemented in
or about September 1996.
The following supplements the disclosure under the heading ``How the Fund
Calculates Performance'' in the Prospectus.
The Fund may include comparative performance information in advertising or
marketing the Fund's shares. The Fund may include performance information about
each of the Fund's classes and is no longer required to include performance data
for all classes of shares in an advertisement or other information including
performance data of the Fund. See ``How the Fund Calculates Performance.''
