Supplement dated September 30, 1996 to the Prospectus dated May 1, 1996
THE FOLLOWING LANGUAGE FOUND UNDER THE "FUND MANAGEMENT" SECTION OF THE
PROSPECTUS:
NEIC's sole general partner, New England Investment Companies, Inc. ("NEIC
Inc."), is a wholly-owned subsidiary of New England Mutual Life Insurance
Company ("The New England"). The New England and Metropolitan Life Insurance
Company ("MetLife") have entered into an agreement to merge, with MetLife to be
the survivor of the merger. The merger is conditioned upon, among other things,
approval by the policyholders of The New England and MetLife and receipt of
certain regulatory approvals. After such merger, NEIC Inc. will be a
wholly-owned subsidiary of MetLife.
IS ELIMINATED AND REPLACED WITH THE FOLLOWING LANGUAGE:
Effective August 30, 1996, NEIC's sole general partner, New England Investment
Companies, Inc. ("NEIC Inc."), is a wholly-owned subsidiary of Metropolitan Life
Insurance Company.
IN ADDITION, IN THE SECTION ENTITLED "EXCHANGING AMONG NEW ENGLAND FUNDS", THE
THIRD SENTENCE IN THE SECOND PARAGRAPH IS REVISED AS FOLLOWS:
All exchanges are subject to the eligibility requirements of the series into
which you are exchanging.
