Item 1. Description of Proposed Transactions.
The fifth paragraph of Section A. General of Item 1
of the Application-Declaration is hereby supplemented to
include the following at the end of such paragraph:
"As of September 30, 1993 the Parents' investments in SFI
totalled $34,020,000 consisting of (a) $20,000 in common
stock (200 shares at $100 per share) (see File No. 70-5015
and the Commission's order with respect thereto, dated
December 17, 1971 (HCAR No. 17400)) and (b) $34,000,000 in
aggregate principal amount of promissory notes due December
31, 2008 (see File No. 70-6097 and the Commission's orders
with respect thereto, dated January 4, 1978 (HCAR No. 20363)
and December 23, 1982 (HCAR No. 22800))."
