Common Share Buyback

On December 16, 1997 The Bank of New York Company,
Inc. (the "Company") announced that its Board of
Directors had approved a plan to buy back, through the end
of 1998, up to 15 million of its common shares.
The Company has almost completed the repurchase of 30 million
shares from a buyback program announced in December, 1996.
